Jesse Kanach is co-chair of the firm’s private investment funds practice and provides comprehensive advice on all aspects of the asset management industry. He represents a broad range of clients from domestic and international investment advisers and private funds — including hedge funds, venture capital funds, private equity funds and cryptocurrency funds — to family offices and regulated investment companies like business development companies. Jesse has experience in counseling registered fund clients on their launches of private funds, and counseling private fund clients on their entry into the registered fund space, including the launch of interval funds and discretionary repurchase funds-of-private-funds.
Sought after for his cutting-edge work advising on regulatory and compliance developments, Jesse offers clients pragmatic solutions to multi-layered issues. Jesse has a particular focus on private funds and registered or exempt reporting advisers, navigating clients among complex U.S. Securities and Exchange Commission rules and regulations, regulatory examinations, and enforcement actions.
Jesse has experience with clients who select and form a variety of innovative investment vehicle structures, such as onshore-offshore master-feeders, mini-masters, parallel funds, alternative investment vehicles and special purpose vehicles (SPVs) for making venture capital investments. He has counseled investment advisers undergoing reorganizations, including some of the largest global asset manager acquisitions. He regularly negotiates on behalf of institutional investors regarding private fund terms and side letters. He has also analyzed hundreds of operating companies with respect to avoiding status as an investment company.
