PHILADELPHIA – Stradley Ronon is pleased to announce that Partner Lisa R. Jacobs participated in the American Bar Association’s Business Law Section Hybrid Spring Meeting 2023 on April 28. The panel, titled “Security Interests in Limited Liability Company and Partnership Interests,” provided insights into the nuances of financings involving security interests in limited liability company interests. The program explored the intersection of Article 9 and Article 8 of the Uniform Commercial Code and state and federal securities laws to answer questions such as whether the limited liability company allows for the creation of a security interest, whether transfer limitations in the operating agreement can be overridden and other pertinent questions.
Jacobs has extensive experience representing businesses and institutions on domestic and international transactional matters. For over 35 years, she has served as an advisor to both private and public companies in a wide variety of industries on matters related to mergers and acquisitions, corporate finance, institutional and private equity financings and organizational governance issues and is a member of Uniform Law Commission (“ULC”), serving on and consulting with the drafting committees relevant to the program. She currently chairs the Joint Editorial Board on Uniform Unincorporated Entity Acts, as well as the drafting committee amending those Acts.
