NEW YORK – Nationally recognized as a market-leading investment management practice, Stradley Ronon welcomes seasoned registered funds partners Stuart H. Coleman, David Stephens and William T. MacGregor in the firm’s New York office to enhance key legal services in a financial hub for clients. The trio, who arrive from Proskauer Rose, will continue to advise many of the largest fund complexes in the United States, their respective fund boards and independent trustees, and investment advisers on cutting-edge products, market opportunities and regulatory developments.

“Stuart, David and Bill are lauded across the asset management space as premier practitioners, strengthening our ability to serve the evolving needs of our sophisticated clients,” said Matthew DiClemente, partner and co-chair of the firm’s investment management practice. “As we think ahead to the future, it’s important to stay attuned to emerging products and regulatory trends shaping the industry. The addition of this team will support these efforts and reinforce our position as the trusted outside counsel of choice.”

“We are thrilled to have this elite trio join the firm as we grow our investment management presence across the region and country,” said Jamie Gershkow, partner-in-charge of the firm’s New York office and member of the investment management practice. “Their arrival in New York deepens our strength to advise on all matters arising under the Investment Company Act of 1940 (’40 Act) for open-end and closed-end funds, exchange-traded funds (ETFs), unregistered funds and other investment products.”

This team follows the recent additions of investment management partners Brian Murphy, former staff member in the U.S. Securities and Exchange Commission (SEC)’s Division of Investment Management and Vanguard in-house counsel who focuses on ETFs; Jesse Kanach, who serves as co-chair of the firm’s private investment funds practice; and Mark Attar, former staff member in the SEC’s Division of Trading and Markets who focuses on broker-dealers. Earlier this year, the firm also expanded its geographical footprint with the launch of a Southern California office, including a 10-lawyer team that focuses on broker-dealers and financial services.

For almost a century, Stradley Ronon has been a driving force in shaping the investment management industry. The practice has earned top rankings and accolades, including from the 2024 edition of Chambers USA as Band 1 in the Nationwide: Registered Funds category. Chambers notes, “Stradley Ronon maintains an impressive client list of fund complexes, fund managers and independent trustees, who benefit from the firm’s skill, industry integration and nationwide presence when developing new products or approaching other registered fund concerns.”

About the team:

Stuart Coleman has an extensive and prominent history of advising registered funds and their independent board members and market-leading investment advisers for more than 40 years. He is known for representing top complexes in the United States, including open-end, closed-end and interval funds; registered hedge and private equity funds; ETFs; and business development companies. He has also represented board special litigation committees and has served as an expert in a significant matter before the SEC and in private litigation.

David Stephens has spent more than three decades advising clients on a wide range of securities law issues under the ’40 Act and Investment Advisers Act of 1940. He is nationally recognized for his representation of all types of funds, including open-end, closed-end and interval funds; ETFs; and manager-of-managers funds, as well as their board members and investment advisers.

William MacGregor leverages his experience as general counsel at a New York-based investment adviser and fund complex to bring a deep understanding of asset managers to his practice. He advises clients on regulatory and transactional matters involving open-end and closed-end investment companies and their advisers, as well as independent trustees. He also supports clients on product development and compliance requirements, regularly counseling clients regarding regulatory examinations and inquiries and the implications of regulatory changes.
